Marketplace Terms

1. Our role

BoostEcom is an intermediary. We are never a party to the sale. The contract is between buyer and seller, and the asset, its condition, its revenue claims and its transfer are the seller's responsibility. We host the listing, hold the funds and mediate disputes, nothing more.

Under Article L111-7 of the French Consumer Code, we disclose how listings are ranked: recommendations and search results are ordered by relevance to the query, listing quality signals and activity, and a sponsored placement is always labelled as such.

2. Seller accounts

Selling requires a Stripe Connect Express account and completion of Stripe's own identity verification. Sellers are responsible for their own tax status, invoicing obligations and, where they act as a professional, for disclosing that status to buyers.

3. Listings

A listing must be accurate. Sellers agree not to:

• Overstate revenue, traffic or profit, or present figures they cannot evidence
• List an asset they do not own or are not authorised to transfer
• List the same asset more than once, or relist to reset its history
• Solicit a buyer to complete the transaction outside the platform to avoid fees

Revenue figures marked as verified are read from a connected data source. Anything else is a seller claim and is displayed as such.

4. Fees

BoostEcom charges the seller 3% of the transaction value on a completed sale. Stripe's own processing fees apply on top and are set by Stripe. Buyers pay no marketplace fee.

A listing sold as a subscription generates one order per paid month, and the fee applies to each of them.

5. Escrow and payouts

Funds are held by the platform after payment, not sent straight to the seller. The seller is paid once the dispute window of 14 has elapsed without a dispute being raised. Each monthly order on a subscription listing carries its own window and its own payout.

This is what makes a buyer safe on a transfer that takes days: a seller who never delivers is never paid.

6. Disputes

A buyer may open a dispute within the window: non-delivery, a failed asset transfer, or an asset materially different from its description. The seller responds on the same thread, and an administrator mediates and decides. A resolved dispute may result in a full or partial refund, which is issued through Stripe.

Opening a dispute suspends the payout until it is resolved.

7. Identity verification on large deals

Above a threshold set for anti-money-laundering purposes, the buyer must complete enhanced identity verification before signing the asset purchase agreement. Verification runs through a specialised provider; the documents are encrypted at rest and are never displayed in the product. A deal cannot advance past that stage until it passes.

8. Deal documents

The platform generates NDA, LOI and asset purchase agreement drafts filled with the deal's known facts. These are starting drafts, not legal advice. BoostEcom is not a party to them and bears no liability for their content, have them reviewed by a lawyer in your jurisdiction before signing.

9. Prohibited assets

The following may not be listed:

• Anything whose sale or operation is unlawful in France or in the buyer's jurisdiction
• Stores built on counterfeit goods or infringing intellectual property
• Customer databases sold on their own, or any asset whose value is the personal data it contains
• Accounts, credentials or API keys belonging to a third party

10. Taxes

Sellers are responsible for declaring and paying any tax due on their sales. BoostEcom reports platform transactions where the law requires it, including under EU DAC7 rules for platform operators.

11. Liability

BoostEcom's liability as an intermediary is limited to the fees it has collected on the transaction concerned. We do not warrant the accuracy of a listing, the condition of an asset, or the outcome of a transfer.

12. Governing law

These terms are governed by French law. Disputes with BoostEcom fall under the jurisdiction of the French courts. Disputes between a buyer and a seller are between them.
